The website, software application, and any related services known as 'PhysicianHelper' (PhysicianHelper) has been developed and is operated by PhysicianHelper.com (we, us, our) and our affiliates. By accessing and/or using PhysicianHelper you agree to these terms (Terms). You confirm that you have the power and authority to enter into, be bound by, and deliver and perform the obligations under, these Terms. You must not use PhysicianHelper if you do not agree to these Terms.
To access PhysicianHelper, you must register for, and hold, an account for your use (Account). By creating an Account you confirm that you:
As part of registering for your Account, you will provide us with information, including personal information about you, which we collect to operate our business and PhysicianHelper and ensure it remains safe and secure. This information will include your full name, professional designation, and contact details. We will use and disclose this information for the purposes of operating our business, PhysicianHelper, the related services, and as otherwise described in our Privacy Policy.
You are responsible for keeping your username and password secure and are responsible for all use and activity carried out under your Account on PhysicianHelper.
PhysicianHelper facilitates your delivery of healthcare services, as a registered medical practitioner, to patients by providing certain functions as described on our website.
From time to time, we may (in our sole discretion) change or update PhysicianHelper or its functions. Such updates may be subject to additional terms and fees as notified to you.
These Terms commence when you first access PhysicianHelper and will continue until terminated by you or us in accordance with these Terms.
To access PhysicianHelper, you may be required to pay a subscription fee as published on our website (Subscription Fee). All fee amounts are in Canadian dollars unless otherwise indicated.
Subscription Fees are payable in advance for the relevant subscription period (Subscription Period). Your subscription will automatically renew unless you cancel it before the end of the current Subscription Period. We do not provide refunds or credits for any partial Subscription Period.
We may vary the Subscription Fee on reasonable advance notice, with such varied fee to apply at the commencement of your next Subscription Period.
Each party must, in performing these Terms, comply with applicable privacy laws. In Canada, this includes without limitation the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, provincial health information legislation such as Ontario's Personal Health Information Protection Act (PHIPA).
You must ensure that at all times you hold all necessary authorizations and current consents from individuals (including patients) to disclose their personal information (including personal health information) to us, so that we may collect, use, store, and disclose it for the purpose of operating PhysicianHelper and as described in our Privacy Policy, without either party infringing any law or the rights of any individual.
We collect, store, use, and disclose personal information about you and patients to provide you with use of PhysicianHelper and for purposes otherwise set out in our Privacy Policy. Our Privacy Policy explains how we handle your personal information and how you can exercise your privacy rights. You can contact our Privacy Officer at privacy@physicianhelper.com.
We may de-identify information made available to us in connection with PhysicianHelper and use or disclose such information in a de-identified form for the purposes of improving our services and for research, as described in our Privacy Policy. We will take reasonable steps to ensure that de-identified information cannot be reverse-engineered or re-identified.
You must comply with all applicable laws and professional obligations in connection with your use of PhysicianHelper. You must not:
PhysicianHelper may contain links to websites and resources operated by third parties (Third Party Resources). We do not endorse and are not responsible for the content of Third Party Resources.
We own or license all rights, title, and interest (including copyright and other intellectual property rights) in PhysicianHelper and any material made available through it (PhysicianHelper Content).
We grant you a limited, non-transferable, non-exclusive license to use PhysicianHelper and PhysicianHelper Content for the duration of these Terms solely for the purpose of facilitating your delivery of healthcare services.
You grant to us a non-exclusive, worldwide, perpetual, royalty-free, sublicensable license to use the de-identified material you provide to us for the purpose of making PhysicianHelper functionality available and as otherwise permitted by these Terms.
You must not disclose any confidential information communicated by us or accessed by you through PhysicianHelper, except as required by law or to personnel who have a need to know. You must employ all reasonable steps to protect our confidential information from unauthorized disclosure.
You are responsible for ensuring your information technology systems can work with PhysicianHelper.
You agree that your use of PhysicianHelper is solely for supporting your administrative processes. You must exercise all necessary and final professional and medical judgment in relation to a patient's diagnosis, advice, or treatment. PhysicianHelper does not constitute a medical device or professional medical advice.
You must notify us immediately if you become aware of any problem or incident associated with PhysicianHelper that has caused, or could cause, harm to patients or others.
We reserve the right to restrict, suspend, or terminate your access to PhysicianHelper without notice if you breach these terms, though we will provide prior notice where practicable.
You may terminate your use of PhysicianHelper by emailing support@physicianhelper.com or through your Account settings. We may terminate these Terms if you breach them, if we withdraw the service, or to comply with applicable law.
On termination, you must pay all outstanding fees. The license granted to you will cease, and we may, in our discretion and as permitted by law, delete any data you have provided to us.
You must indemnify and hold us harmless from any loss or liability arising from your use of PhysicianHelper, any breach of these Terms, or any claim made by a patient in relation to your acts or omissions.
You acknowledge that PhysicianHelper uses artificial intelligence and may be inaccurate or incomplete. It is your responsibility to evaluate and verify the accuracy of any PhysicianHelper Content before use. The service is provided "as is" without warranty.
To the extent permitted by law, our aggregate liability for any loss sustained by you in connection with these Terms during any consecutive twelve-month period is limited to the fees you paid during that period.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You submit to the non-exclusive jurisdiction of the courts exercising jurisdiction in Ontario, Canada.
We may update these Terms from time to time by providing reasonable notice. If a change materially and detrimentally affects you, you will be entitled to terminate these Terms and receive a pro-rata refund of any prepaid Subscription Fees.
Each party is an independent contractor. These Terms do not create a partnership, agency, or employment relationship.
Your Account is personal to you and may not be transferred. These Terms constitute the entire agreement between us. If any provision is found to be invalid or unenforceable, it will be replaced with a valid provision that achieves the original purpose, and the remainder of the Terms will remain in effect.
